Responsibilities

  • Intervenir dans le cadre d’opérations de fusion, acquisition, cession ou encore joint-venture pour le compte de grands groupes internationaux, de fonds d’investissements ou d’institutions financières.
  • Identifier les enjeux de l’opération et permettre à nos clients de mieux valoriser leur transaction
  • Estimation des synergies dans le cadre de fusion, acquisition ou joint-venture ;
  • Identification et valorisation des enjeux de séparation dans le cadre de carve-out ;
  • Sécurisation de la documentation juridique liée à la transaction (revue des TSA et des principales clauses liées à la séparation)
  • Elaborer la stratégie d’intégration, de séparation et de transformation et développer des plans de mise en œuvre
  • Coordonner et suivre la mise en œuvre de l’intégration ou de la séparation
  • Collaborer avec les autres équipes conseil du cabinet (Stratégie, Finance, Technologie & Transformation, People & Change, …)
  • Travailler avec les dirigeants des plus grands groupes français et internationaux
  • Etre impliqué(e) dans le développement commercial (réponse aux appels d’offre).
