Responsibilities

  • Act as corporate secretary for the Dutch Management Board, including all aspects of meeting support.
  • Support the European Group Company Secretary with all aspects of Dutch Supervisory Board and Committee support, including scheduling meetings, managing attendees, preparing agendas, preparing reports, collating and publishing materials, attending meetings, taking minutes, managing action logs and managing Supervisory Board Members.
  • Provide expert advice on Dutch corporate law and corporate governance matters.
  • Utilise Board Vantage and Diligent Entities (Board portal and entity management system).
  • Manage all commercial registry filings for EU entities.
  • Maintain all statutory registers and other corporate records for EU entities.
  • Prepare resolutions and corporate documents for routine matters for EU entities such as officer/signatory changes, annual accounts, dividends and capital matters, liaising with external legal partners as needed.
  • Arrange signature, notarisation and legalisation of documents.
  • Support the team to monitor relevant legal and regulatory changes and implementation within the business, particularly within the EU.
  • Assist with corporate projects, such as legal entity simplification initiatives.
  • Manage and liaise with external legal partners in the EU.
  • Deputise for, and assist, the European Group Company Secretary as required.
