Responsibilities

  • Company Secretary
  • Ensure governance of legal entity reporting and monitoring
  • Board support; acting as a bridge between the board of directors, shareholders, and management team
  • Advising the board of directors and helping to develop corporate governance policies and procedures and thereby supporting the company in complying with legal and regulatory requirements and following best practice. Ensuring compliance with legal and regulatory requirements, managing shareholder relations, proper delegation and overseeing corporate actions
  • Rules governing shareholders; managing corporate governance matters
  • Ensuring the company complies with legal and regulatory requirements and follows best practice, by advising the board on their responsibilities, and helping to develop corporate governance policies and procedures
  • Guiding the chair and board on their responsibilities under the rules and regulations to which they are subject and on how those responsibilities should be discharged
  • Supporting the chair in ensuring the board functions efficiently and effectively
  • Ensuring good information flows within the board and its committees and between senior management and non-executive directors, as well as facilitating induction and assisting with professional development as required
  • Develop and implement processes to support good corporate governance
  • Monitoring directors' interests and conflicts of interest
  • Developing and overseeing the corporate governance systems to ensure that the company complies with all applicable codes, in addition to its legal and statutory requirements
  • Overseeing the day-to-day administration of the company, and supporting the Legal Governance Specialist with tasks including, but not limited to maintaining statutory books, including registers of members, directors and secretaries, organising board meetings and AGMs, preparing agendas and taking minutes, POAs
  • Compliance procedures on a country level to identify legal/Vattenfall Management System requirements and monitor compliance
  • Ensuring compliance of our legal entities to laws and regulations in the UK, certifying that companies comply with relevant laws, regulations, and corporate policies
  • Monitor changes in legislation, updating the board and management teams on any legal developments that may impact the company
  • Ensure legal entity management is in line with the UK Corporate Governance Code where applicable
  • Ensuring compliance to internal regulations of our UK employees
  • Promoting ethical practices within the company, to facilitate compliance with codes of conduct and anti-corruption policies
