Responsibilities

  • You will work closely with all teams within the AESE business, and key stakeholders within the wider Aggreko group, to deliver high quality legal advice in a responsive and pro-active manner, including assessing and advising on project risks and risk management strategies and assisting prompt decision making among key stakeholders. You will also be a trusted source of knowledge for the wider business based on your experience in the renewable energy sector.
  • Provide legal support on the acquisition of renewable energy projects, businesses and renewable energy opportunities, including reviewing and performing legal due diligence and co-ordinating all corporate matters, including SPV incorporation.
  • Advise the business on issues and transactions arising through the whole lifecycle of a renewable energy project, from origination through to operation.
  • Support commercial and contractual negotiations with counterparties, including drafting, reviewing and negotiating power purchase agreements, engineering, procurement and construction (EPC) agreements and other construction contracts, operations and maintenance (O&M) agreements; grid connection arrangements; tender documentation; supplier framework agreements; warranty documents and performance guarantees; bonds, PCGs and credit security arrangements; and non-disclosure agreements.
  • Advise on route-to-market arrangements, including power supply arrangements with customers on a behind-the-meter and front-of-meter basis; CfD and Capacity Market agreement eligibility, terms and key obligations; and private wire arrangements (including applicable licencing exemptions).
  • Provide legal support on financing of projects, including supporting the negotiation of financing terms and relevant financing and security documentation.
  • Drafting and negotiating agreements to establish key strategic relationships with developers, landowners and potential customers, including joint development agreements, exclusivity and access agreements and other strategic collaboration arrangements.
  • Ensure that contracts comply with all relevant legal, regulatory and corporate standards, including providing appropriate protection to Aggreko in line with group standards.
  • Deliver advice in a commercially relevant manner, comprehensible and easy to use, in line with current market norms, and aligned to the commercial aspects of the deal.
  • Provide training and guidance to colleagues on legal developments and best practices relevant to the AESE division
  • Ensure the appropriate levels of governance are applied to guarantee compliance across AESE including establishing appropriate systems and procedures to ensure the monitoring of and compliance with key legal, regulatory and contractual obligations and applicable ethical standards and anti-bribery and corruption legislation, in conjunction with Group Compliance Director.
  • Manage relationships with external lawyers when specific expertise is required.
  • Establish budget for the AESE legal function and drive value for money.
