Requirements

  • A qualified Solicitor (England & Wales) with 4-7 years post qualification experience.
  • Experience in drafting, reviewing and negotiating documentation;
  • Experience in corporate M&A is required;
  • Experience in ECM and public M&A will be an advantage;
  • Willingness to support on transitional services agreements;
  • Experience gained within a good quality law firm or relevant organisation;
  • Excellent people skills and a good, clear communication style;
  • Ability to work effectively within an established, close-knit team;
  • Demonstrate ability to confidently interact with clients and develop business pro-actively;
  • A commercial and pragmatic outlook;
  • Have attained degree certificate(s) from a reputed institution, achieving a minimum grade of 2:1 or equivalent;
  • Be self-motivated and possess a very pro-active attitude;
  • Candidates that have gained increased post qualification experience will also be expected to demonstrate ability to manage their matters with little day to day supervision as well as the supervision/management of junior lawyers.

Responsibilities

  • As an Associate / Senior Associate in the group you will work on a variety of complex, cross-border and high profile transactions.
  • Advise on the best legal framework for the transaction;
  • Draft and negotiate the terms of the agreement
  • Ensure the transaction adheres to all relevant laws and regulations, including company law, competition law, and industry-specific regulations;
  • Obtain necessary approvals from regulatory bodies, such as antitrust authorities;
  • Draft and negotiate various legal documents, including letters of intent, confidentiality agreements, and the principal transaction agreement;
  • Craft appropriate representations, warranties, covenants, and disclosure schedules.
  • Provide legal advice to the board of directors and management on fiduciary duties, minority shareholder rights, and potential conflicts of interest
  • Advise on tax implications and other financial aspects of the transaction;
  • Identify and mitigate potential risks throughout the M&A process
  • Develop strategies to address any issues that arise during negotiations or due diligence;
  • Assist in the smooth integration of the acquired company into the existing business structure
  • Ensure that all legal and regulatory requirements are met during the transition.
